Terms of Service

Last updated: October 9, 2026

1. Who these terms are with

These Terms of Service (“Terms”) are an agreement between you and Tee DosSantos, a sole proprietor doing business as OakSphere (“OakSphere”, “we”, “us”), 7901 4th St N, Ste 300, St. Petersburg, FL 33702, United States, tee@oaksphere.co. If you accept these Terms for a company, you confirm you are authorized to bind it, and “you” means that company. By starting a trial, subscribing, or signing a services agreement, you agree to these Terms.

2. What we sell

  • Interlock Mesh, a hosted software service that lets your AI assistants share tasks, notes and an activity log across your team, sold as a monthly subscription per user and accessed by API key.
  • AI implementation services: fixed-price projects that set up AI tools and automations for your business, and monthly support plans that maintain them.

Nothing physical is shipped.

3. Accounts and API keys

Access to Interlock Mesh is by API key. Each key is shown once; keep it secret. You are responsible for activity under your keys. If a key may be exposed, revoke it with an admin key or email us and we will revoke it. Give us accurate account and billing details and keep them current.

4. Subscriptions, free trial and billing

  • Prices. Solo is $9 USD per month for one person on up to 3 devices. Team is $19 USD per user per month. Prices are shown on our Pricing page. Subscriptions are billed monthly.
  • Free trial. New subscriptions start with a 30-day free trial. When the trial ends, billing starts automatically at your plan’s price unless you cancel before the trial ends. We email you a reminder 7 days before the trial ends.
  • Recurring charges. By subscribing, you authorize us, through our payment processor Stripe, to charge your payment method each month for your plan until you cancel. Team charges are based on the number of users on your account. Users added mid-month are charged a prorated amount for the rest of that month; users removed stay billed until the end of the paid month.
  • Price changes. We will email you at least 30 days before a price change applies to your subscription.
  • Failed payments. If a payment fails, we may suspend access until it is paid.
  • Payment security. Payments are processed by Stripe. OakSphere never sees or stores your full card number.
  • Promotions. Apart from the 30-day free trial, we do not currently offer discounts or promotional pricing. Any future promotion will state its terms next to the offer.

5. Cancellation and refunds

You can cancel a subscription anytime from the billing portal or by emailing tee@oaksphere.co. Cancellation takes effect at the end of the current paid month; you keep access until then and are not charged again. We do not refund partial months. Our Refund & Cancellation Policy is part of these Terms.

6. Services

  • Quotes and agreements. Each project is quoted at a fixed price, in writing, before work starts. The written agreement (proposal or statement of work) sets out the scope, deliverables, milestones and payment schedule. If it conflicts with these Terms, the written agreement controls for that project.
  • Milestone payments by ACH. Projects are paid in milestones by ACH bank transfer. When you approve a payment schedule and provide your bank account, you authorize OakSphere, through Stripe, to debit that account for each milestone amount on the dates or events set out in your agreement. We give you at least 7 calendar days’ notice before changing the timing of a scheduled debit. You can revoke this authorization by emailing tee@oaksphere.co; revocation applies to debits not yet started, and does not cancel amounts owed for milestones already started.
  • Cancelling a project. A paid milestone is non-refundable once work on it has started. Milestones you have paid for but on which work has not started are refunded in full if you cancel.
  • Failed debits. If a milestone debit fails or is returned, we pause work on that milestone until it is paid and may retry the debit after notifying you.
  • Support plans. Monthly support plans are billed monthly on the terms in your written agreement.
  • Your systems. We build in accounts you own. What we build for you in your accounts stays in your accounts and keeps running if our engagement ends. You are responsible for the accounts, subscriptions and third-party tools that the work runs on.

7. Acceptable use

You may not use Interlock Mesh or our services to:

  • break the law, or infringe anyone else’s rights;
  • store payment card numbers, passwords or government ID numbers in Interlock Mesh;
  • upload malware, or try to access another customer’s data or get around our security;
  • overload or disrupt the service, or resell or share access without our written permission;
  • use the service where U.S. sanctions law prohibits it.

We may suspend access that breaks these rules.

8. Your data

You own the content you and your agents put into Interlock Mesh. You give us permission to store and process it only to provide the service to you. Our Privacy Policy explains what we collect and how we handle it.

9. AI output

Interlock Mesh and the systems we build connect to AI assistants and models made by other companies. AI output can be incomplete or wrong. Review it before you rely on it. You are responsible for decisions and actions you or your agents take based on it. We do not control third-party AI models, and their providers’ own terms apply to them.

10. Availability

We work to keep Interlock Mesh available and back it up nightly, but we do not promise uninterrupted or error-free operation. We may change or improve the service; if we remove a major feature you rely on, we will tell you in advance.

11. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR YOUR WRITTEN AGREEMENT, THE SERVICE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, OAKSPHERE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OAKSPHERE’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR OUR PRODUCTS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

13. Termination

You can stop using our products at any time by cancelling as described above. We may suspend or end your access if you materially breach these Terms or do not pay, after notice where reasonable. When access ends, we delete your Interlock Mesh content on request; copies in backups are deleted automatically within 90 days. Sections 5, 8 and 11 to 15 continue after termination.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Florida, and both parties consent to their jurisdiction. Before filing a claim or a payment dispute, please email us so we can try to fix it first.

15. Changes to these terms

We may update these Terms. We will change the date at the top, and for material changes we will email Interlock Mesh subscribers before the change takes effect. Continuing to use the service after that means you accept the updated Terms.
